1. Acceptance of Terms

3. User Accounts

• You are solely responsible for all activities conducted through your account

• Keep your login credentials confidential
• Not share your account with others
• Not use another person's account without permission
• Notify us immediately of any suspected unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• Request by law enforcement or government agencies
• Any reason at our sole discretion

4. Description of Services

4.1 Services Offered

SGSEOServices provides digital marketing services including but not limited to:

• Search Engine Optimization (SEO)
• Pay-Per-Click Advertising (PPC/Google Ads)
• Social Media Marketing (SMM)
• Content Marketing and Creation
• Link Building Services
• Website Analytics and Reporting
• Digital Marketing Consulting

4.2 Service Scope

The specific services provided to you will be outlined in a separate Service Agreement or Proposal. These Terms govern your general use of our Site and Services, while the Service Agreement specifies deliverables, timelines, and project-specific terms.

4.3 No Guarantees

Important: We do not guarantee specific results, rankings, traffic levels, or revenue outcomes. Digital marketing results depend on numerous factors beyond our control including market conditions, competition, algorithm changes, and your business operations. 4.4 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any Service feature at any time
• Change pricing, packages, or service offerings
• Impose usage limits or restrictions
• Update methodologies and strategies to reflect industry best practices

Active clients will be notified of material changes affecting their existing service agreements.

5. Payment Terms & Fees

5.1 Fees & Pricing

• Service fees are outlined in your Service Agreement or Proposal
• All fees are quoted in Singapore Dollars (SGD) unless otherwise stated
• Pricing is subject to change with 30 days' notice to existing clients
• Custom quotes are valid for 30 days unless otherwise specified

5.2 Payment Terms

• Monthly Services: Payment due on the 1st of each month via auto-billing
• Project-Based Services: 50% deposit upfront, balance upon completion (or as specified in proposal)
• Payment Methods: Credit card, bank transfer, PayNow, or other approved methods
• Late Payments: Services may be suspended for payments overdue by 7+ days
• Disputed Charges: Must be reported within 30 days of billing

5.3 Taxes

All fees are exclusive of applicable taxes (GST, sales tax, etc.). You are responsible for all taxes associated with your purchase. We will add applicable taxes to your invoice where required by law.

5.4 Refund Policy

• Monthly Services: No refunds for partial months. Cancel anytime with 30 days' written notice
• Setup Fees: Non-refundable once work has commenced
• Project-Based: Refunds considered on case-by-case basis for work not yet performed
• Ad Spend: Third-party advertising costs (Google Ads, Facebook Ads) are non-refundable

5.5 Advertising Budget

For PPC/paid advertising services:

• Advertising platform fees (Google, Facebook, etc.) are separate from our management fees
• You authorize us to charge advertising costs to your provided payment method or directly to platform accounts
• You maintain ownership of all advertising accounts
• We do not mark up advertising costs—you pay platform rates directly

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Site and Services, including all content, features, functionality, designs, logos, text, graphics, software, and other materials, are owned by SGSEOServices or our licensors and are protected by:

• Singapore copyright laws
• International copyright treaties and conventions
• Trademark laws
• Trade secret laws
• Other intellectual property rights

You may not copy, reproduce, distribute, modify, publicly display, perform, republish, download, store, or transmit any material from our Site, except as follows:

• Your computer may temporarily store copies for browser caching
• You may print or download reasonable portions for personal, non-commercial use
• You may share links to our content on social media with proper attribution

6.2 Your Intellectual Property

You retain all ownership rights to content you provide us (logos, images, copy, data, etc.). By providing us with content, you grant us a limited, non-exclusive license to use, display, reproduce, and modify such content solely for the purpose of providing our Services to you.

6.3 Work Product Ownership

Ownership of work product created during service delivery depends on the service type:

• Content Created: Blog posts, articles, copy, graphics created specifically for you become your property upon full payment
• Strategy Documents: Custom strategies and plans created for you are your property upon full payment
• Proprietary Tools: Our internal tools, software, methodologies, and processes remain our intellectual property
• Reports & Analytics: Data reports are yours; templates and report formats are ours

6.4 Portfolio & Case Studies

Upon project completion and with your permission, we may feature your project as a case study or in our portfolio, including:

• Company name and logo
• Project description
• Results achieved (anonymized if requested)
• Testimonials provided by you

You may opt out of portfolio inclusion at any time by written request.

7. Prohibited Activities & User Conduct

When using our Services, you agree NOT to:

7.1 Illegal & Harmful Activities

• Violate any applicable laws or regulations
• Engage in fraudulent, deceptive, or misleading practices
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt Services or servers

7.2 Prohibited Content

You may not provide us with or request us to promote content that:

• Is illegal, harmful, threatening, abusive, or hateful
• Violates third-party intellectual property rights
• Contains false or misleading information
• Promotes illegal drugs, weapons, or dangerous activities
• Contains adult content, pornography, or sexual material
• Promotes gambling (where restricted by law)
• Violates advertising platform policies (Google, Facebook, etc.)

7.3 Service Misuse

• Reselling our Services without authorization
• Reverse engineering our proprietary tools or methodologies
• Scraping or harvesting data from our Site
• Using automated tools to access Services (bots, scrapers)
• Impersonating SGSEOServices or our team members

Consequence: Violation of these prohibitions may result in immediate account termination, service suspension, legal action, and reporting to relevant authorities.

8. Client Responsibilities & Cooperation

For us to effectively deliver Services, you agree to:

• Provide Access: Grant necessary access to websites, analytics, advertising accounts, and other platforms
• Timely Communication: Respond to requests for information, feedback, or approvals within reasonable timeframes
• Accurate Information: Provide accurate, complete information about your business, goals, and target audience
• Content Approval: Review and approve content in a timely manner
• Platform Compliance: Ensure your business complies with advertising platform policies (Google, Facebook, etc.)
• Payment: Maintain current payment methods and pay invoices on time

Note: Delays caused by failure to meet these responsibilities may extend project timelines and are not our responsibility.

9. Service Availability & Interruptions

• We strive to provide continuous Service availability but do not guarantee uninterrupted access
• The Site may be unavailable due to maintenance, updates, or technical issues
• We are not responsible for third-party service outages (Google, Facebook, hosting providers, etc.)
• We will make reasonable efforts to notify you of planned maintenance
• Force majeure events (natural disasters, pandemics, war, etc.) may affect service delivery

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary and confidential information:

• Your Information: We will not disclose your business strategies, data, or confidential information to third parties (except as necessary to provide Services or required by law)
• Our Information: You will not disclose our proprietary methodologies, tools, pricing structures, or confidential business information
• Duration: Confidentiality obligations continue for 3 years after termination of Services

11. Disclaimer of Warranties

PLEASE READ THIS SECTION CAREFULLY:

• THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS
• WE MAKE NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, REGARDING THE SERVICES
• WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WE DO NOT GUARANTEE SPECIFIC RESULTS, RANKINGS, TRAFFIC, LEADS, OR REVENUE
• RESULTS DEPEND ON FACTORS BEYOND OUR CONTROL INCLUDING ALGORITHM CHANGES, MARKET CONDITIONS, AND YOUR BUSINESS OPERATIONS

12. Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY:

TO THE MAXIMUM EXTENT PERMITTED BY SINGAPORE LAW:

• SGSEOSERVICES, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• THIS LIMITATION APPLIES WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY
• THIS LIMITATION APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

MAXIMUM LIABILITY: Our total liability to you for all claims arising from or related to the Services shall not exceed the total fees you paid us in the 12 months preceding the claim (or SGD 1,000 if no fees were paid).

EXCLUSIONS: Some jurisdictions do not allow limitation of implied warranties or liability for incidental/consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless SGSEOServices, its directors, employees, partners, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any law or rights of a third party
• Your use or misuse of the Services
• Content or information you provide to us
• Your business operations or products/services
• Claims that content you provided infringes intellectual property rights

14. Termination

14.1 Termination by You

• Monthly Services: Cancel anytime with 30 days' written notice via email
• Project-Based Services: Termination may incur fees for work completed to date
• Account Deletion: Request account deletion by contacting us

14.2 Termination by Us

We may terminate or suspend your account and access to Services immediately, without notice, for:

• Violation of these Terms
• Non-payment of fees
• Fraudulent, abusive, or illegal activity
• Requests by law enforcement or regulatory bodies
• Any reason at our sole discretion

14.3 Effect of Termination

Upon termination:

• Your right to use Services ceases immediately
• We will cease providing Services
• You remain liable for all fees incurred prior to termination
• Provisions regarding intellectual property, confidentiality, indemnification, and limitation of liability survive termination
• We may delete your data in accordance with our data retention policies

15. Governing Law & Jurisdiction

• These Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of law provisions
• Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Singapore
• You agree to submit to the personal jurisdiction of Singapore courts
• The United Nations Convention on Contracts for the International Sale of Goods does not apply

16. Dispute Resolution

16.1 Informal Resolution

Before filing a legal claim, you agree to first contact us to attempt informal resolution. Email legal@sgseoservices.com with a detailed description of the dispute. We will attempt to resolve disputes within 30 days.

16.2 Mediation

If informal resolution fails, both parties agree to attempt mediation before litigation. Mediation will be conducted in Singapore under the Singapore Mediation Centre rules.

16.3 Arbitration

If mediation fails, disputes shall be resolved through binding arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) rules. The arbitration award shall be final and binding.

16.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement, confidentiality breaches, or other urgent matters requiring immediate action.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

18. Entire Agreement

These Terms, together with any Service Agreements, Proposals, Privacy Policy, and other referenced policies, constitute the entire agreement between you and SGSEOServices regarding use of the Services, superseding any prior agreements or understandings.

19. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by authorized representatives.

20. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.

21. Third-Party Services & Links

Our Services may integrate with or link to third-party services (Google, Facebook, hosting providers, etc.):

• Third-party services have their own terms and privacy policies
• We are not responsible for third-party services, content, or policies
• Your use of third-party services is at your own risk
• We do not endorse third-party products or services
